These terms of service are a legally binding contract between you, (referred to collectively as "user") ("Teacher", "Educator" "Administrator" "School", "Student", "Parent", or "User")and GradeBookPortal.com. Your use of the GradeBookPortal.com website, products, software, and services (referred to collectively as the "Service") is subject to this agreement. To use the Service, the subsequent terms must be agreed upon. If user does not agree with any part thereof, the site should not be utilized. If user is a student or a parent and have been granted a user identification and password by the school or a member of faculty or administration thereof to access the site, the faculty or member of administration should be informed of the decision not to use the site and return the user identification and password to the appropriate individual or administration.

2. User agrees that use of the Services does not constitute any foundation for ownership of the Services and that GradeBookPortal.com owns all legal rights, title, and interest in and to the Services.

3. User agrees to use the Services only for purposes that are allowed by these terms and any applicable law or regulation. User may not make use of the Website for any ventures deemed unlawful. User agrees to use the Website solely for its intended and declared purpose. User agrees not to use the Website to upload or email content for commercial purposes. User agrees not to willfully impair or overload the Website.

4. User agrees not to replicate, publish, alter, or reconstruct any portion of the Website. User agrees not to resell use of or profit from any portion of the Website.

5. User is solely responsible for any content produced, transmitted, or displayed while using the Service. Uses of certain Services require a password. It is the sole responsibility of the user to protect and maintain the confidentiality of all such passwords.

6. Use of the Service is exclusively at the liability of the user and the Service is provided "as is" and as warranted and available. GradeBookPortal.com disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement. This shall include but not be limited to any loss of monetary gain (whether incurred directly or indirectly), any loss of goodwill or reputation, any loss of data, cost to procure of substitute goods or services, or other intangible loss;

It is understood and agreed that GradeBookPortal.com, its owners, directors, attorneys, affiliates, licensors, employees and subsidiaries has no liability to user for any loss or damage that may be incurred by user as a result of: any changes that GradeBookPortal.com may make to the Services; any permanent or temporary termination in the provision of the Services or any features of the Services); the deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through use of the Services; or the users failure to keep password or account details secure and confidential.

9. GradeBookPortal.com routinely updates the Services. User agrees that GradeBookPortal.com can make changes, additions, substitutions, and reductions to the Service without notice to the user. GradeBookPortal.com reserves the right to stop providing the Service to user at any time for any reason without prior notice.

10. Some of the Services provided by GradeBookPortal.com are supported by advertising revenue and may display advertisements and promotions. The manner, mode, and extent of advertising on the Services are subject to change devoid of notice. The Services may include hyperlinks to other web sites or content or resources. GradeBookPortal.com may have no control over the web sites or resources that are provided by other companies or persons. You acknowledge and agree that GradeBookPortal.com is not responsible for the availability of any such external sites or resources and does not endorse any advertising, products, or other materials on or available from such web sites or resources.

11. User acknowledges that GradeBookPortal.com may establish general practices and limits concerning use of the Service, including without limitation to the maximum amount of content that may be sent from or received by the Service, the maximum size of content, the maximum disk space that will be allotted on gradebookportal.com's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that gradebookportal.com has no responsibility or liability for the deletion or failure to store any Content and other communications or other Content maintained or transmitted by the Service. You acknowledge that GradeBookPortal.com reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that GradeBookPortal.com reserves the right to change these general practices and limits at any time, at its sole discretion, with or without notice.

12. The preceding terms encompass the entire legal agreement between GradeBookPortal.com and user. They replace all prior agreements between GradeBookPortal.com and user in relation to the Service. User agrees that GradeBookPortal.com may provide user with notices, including those regarding changes to these terms, by email, regular mail, or postings on the Services. If the GradeBookPortal.com does not exercise or enforce any legal right or remedy in these terms, this will not be a waiver of any rights, and those rights or remedies will still be available to GradeBookPortal.com. If any court rules that any provision of these terms is invalid, then that provision will be removed from these terms without affecting the rest of the terms and the remaining provisions of these terms will continue to be valid and enforceable.

13. These terms and conditions will be governed by the laws of the State of Maryland without regard to its conflict of legal provisions. GradeBookPortal.com and user agree to submit to the exclusive jurisdiction of the courts located within the county of Baltimore, Maryland to resolve any legal matter arising from these terms. Notwithstanding this, GradeBookPortal.com will still be in the position to make concessions to apply for litigious countermeasure (or an equivalent type of urgent legal remedy) in any jurisdiction.
